All sales are based exclusively on the conditions set out below. The buyer accepts our conditions when he accepts our merchandise. Differing conditions of the buyer cannot be considered, even if we do not expressly contradict them.

Offers: Our offers are without obligation as regards price, availability of goods, and time of delivery.

Prices: Our prices are ex works, excluding packing, unless expressly stated otherwise. We reserve the right to add surcharges for small quantities and small packaging.

Payment: Mode of payment to be agreed upon between the buyer and us.

Order Confirmation: All orders require our written confirmation.

Reservation of Rights: All goods supplied by us remain our property until they have been fully paid including all claims (such as interest, draft- and check expenses, stamp duties). Checks and drafts can only be regarded as payment after they cleared the respective financial institution.

The buyer is entitled, however, to dispose of the goods in the course of  normal proper business. Mortgaging, transfer of these properties for the purpose of furnishing securities, or similar disposal of the goods are not permissible without our prior written consent. If such properties are seized by a third party we must be informed immediately.

Contracts: If any contracted quantities are not taken within the period of delivery agreed upon, then the contract is no longer valid after the date of expiration and we reserve the right to charge the difference between the contract price and the price applicable to the lesser quantity taken.

Force Majeure: We cannot be held responsible for non delivery or delay in delivery due to circumstances beyond our control, such as strikes, lock-outs, interruptions of traffic, damages by fire, shortage of man-power, intervention by a government and other cases of force majeure as long as such interruptions continue.

Insurance: All goods are dispatched on the buyer's risk, insurance by us is only effected by special request. We cannot be held responsible for breakage or other damages.

Claims: Claims can be considered only if presented immediately or not later than 8 days after arrival of the goods and prior to their further processing. In all cases a sample should be sent to us. If the buyer submits sufficient proof that the goods are not suitable for normal use or employment as per contract or that the product lacks a property which was guaranteed by us, we shall, in case of our liability, either replace the goods or credit the buyer's account accordingly at our choice. Any other or further claims beyond this cannot be accepted and we cannot be held responsible for damage by use of faulty material.

Competent Court and Applicable Law: Place of fulfillment is Stadtoldendorf, competent court, either Holzminden or the domicile of the buyer at our choice.

All legal matters between us and the buyer are subject to the laws of the Federal Republic of Germany.
